Do I need midi in and out on my mixer to control software or just midi out MIDI OUT (clock/start/stop). The mixer i'm looking at has midi out only.

You'd only need MIDI in if you wanted VirtualDJ to control your controller (typically used to turn lights on and off).

If you wish to use it to control VirtualDJ (I.e: Move the video crossfader), then you would need a MIDI compatible mixer with MIDI OUT.
MIDI IN is only used for feedback from VirtualDJ, e.g: To light an LED, and this requires a proper definition and mapping to function. Basic MIDI OUT functions can be mapped using the Simple MIDI Wrapper.
You would also need a MIDI Interface to be able to connect it to your computer, unless it connects via USB as most MIDI controllers such as Hercules do.

There is no other info about midi that I can find for this mixer. I want to scroll folders and files, load songs, trigger cue points, trigger effects, trigger samples, trigger beatmatch. Thats all I need a mixer to do.
The mixer is a Ecler NUO 5.
Will this work?
Btw...I do audio only. no video. I use cdj's with tccd and maya44 usb or NI audio 4.

IIRC the Nuo 4 was Ecler's big MIDI mixer and the Nuo 5 was pretty limited (actually I didn't think it did MIDI at all!) - unless they've changed it in a new version of the product.
